1. Who we are and what we do
Doheny AI is an AI implementation practice based in Phoenix, Arizona. We provide AI tools assessments, AI voice agents, done-with-you implementation support, and fixed-scope automation and workflow builds for small and mid-sized businesses. We are a service provider — not a software product, and not a substitute for your own business judgment.
2. Engagements, quotes, and payment
- Pricing for each service is quoted before work begins. Setup fees, monthly fees, and project fees are described in your proposal or order.
- Monthly services bill in advance and continue until canceled. Promotional or founder pricing applies only on the terms stated at sign-up and is not retroactive.
- Fees are exclusive of third-party costs (for example, telephony, messaging, or AI usage charges) unless your order says they're included.
- Late or failed payments may pause or suspend service. Fees already paid are non-refundable except where a written agreement says otherwise.
3. Your responsibilities
- Give us accurate information and timely access to the accounts, tools, and details we need to do the work.
- Make sure you have the right to grant that access and to share any data you provide.
- Use anything we build in compliance with applicable laws — including telemarketing, call-recording, and consent rules that apply to your calls and messages.
- Review and approve deliverables. You're responsible for how you operate the systems once they're live.
4. AI and automation — what to expect
Our work uses artificial intelligence, including voice agents and automated workflows. AI systems are powerful but not perfect. You understand and agree that:
- AI outputs can contain errors, and may not handle every call or scenario the way a human would. We design handoff and escalation rules, but no system catches everything.
- We don't guarantee specific business results, revenue, lead volume, or booking rates. Examples and figures on our site are illustrative, not promises.
- You're responsible for monitoring outcomes and keeping appropriate human oversight over customer-facing systems.
- Underlying AI models and third-party platforms are controlled by their providers and may change, degrade, or become unavailable outside our control.
5. Third-party services and tools
Our services often run on or integrate with third-party platforms — CRM and messaging systems, telephony and AI voice providers, calendars, and others. Those tools are governed by their own terms, and their availability, pricing, and behavior are outside our control. We're not responsible for outages, changes, or acts of third-party providers.
6. Intellectual property and deliverables
Once you've paid in full for an engagement, you own the specific configurations, workflows, and written deliverables we produce for your business, and you may keep using them if our relationship ends. We retain ownership of our underlying methods, templates, frameworks, and general know-how, and we may reuse those across clients. Nothing here transfers rights to third-party software, which remains with its providers.
7. Confidentiality
Each side will protect the other's non-public business information and use it only to perform or receive the services. This doesn't apply to information that is public, already known, independently developed, or required to be disclosed by law.
8. Communications and SMS
By giving us your contact information, you agree we may contact you about your inquiry and engagement. Text messaging consent, message types, frequency, and opt-out are described in our Privacy Policy. You can opt out of texts anytime by replying STOP.
9. Disclaimers
The site and services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the site or any system will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the fullest extent allowed by law, Doheny AI will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or related to the site or services. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim in the three months before the claim arose.
11. Indemnification
You agree to indemnify and hold harmless Doheny AI from claims, losses, and expenses arising from your use of the services, your data, or your violation of these terms or applicable law — including laws governing the calls and messages your systems handle.
12. Term and termination
Either party may end an ongoing engagement as described in your order — by default, with notice before the next billing cycle. We may suspend or terminate access for non-payment or misuse. Sections that by their nature should survive termination (payment owed, IP, confidentiality, disclaimers, liability limits, indemnification) survive.
13. Governing law and disputes
These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. The parties will try to resolve disputes informally first. Any dispute that can't be resolved will be handled in the state or federal courts located in Arizona, and you consent to their jurisdiction.
14. Changes to these terms
We may update these terms as the business changes. The "last updated" date above reflects the current version. Continued use of the site or services after a change means you accept the updated terms.
